1) Acceptance of Terms
By accessing or using Integric AI’s Services (the "Platform"), you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that entity.
2) Definitions

“Service”: Integric AI’s AI-powered call centre platform, including voice assistants, analytics, and integrations.

“Customer Data”: Any data (e.g., call recordings, transcripts) submitted by you or generated through the Service.

"Affiliates": Entities under common control with Integric AI.
3) Account Registration & Security

Credentials: You must provide accurate information when registering and keep login details confidential.

Unauthorised Access: Notify us immediately of any security breaches. Integric AI is not liable for unauthorised access due to your negligence.
4) Service Usage & Restrictions
Permitted Use:

Internal business operations (e.g., customer support, call analytics).

Compliance with all applicable laws (e.g., GDPR, TCPA, CCPA).
Prohibited Activities:

Reverse-engineering, modifying, or reselling the Service.

Using the Service for illegal, fraudulent, or abusive purposes (e.g., spam calls).

Transmitting viruses or harmful code.
5) Data Ownership & Processing

Customer Data: You retain ownership of all data submitted to the Service. You grant Integric AI a limited license to process this data solely to provide the Service.

Anonymised Data: We may aggregate and anonymise data for analytics, model training, or industry benchmarking.
6) Fees & Payment

Subscription Plans: Fees are billed monthly/annually as per your selected plan.

Taxes: You are responsible for all applicable taxes.

Termination for Non-Payment: Services may be suspended if payment is overdue by 15+ days.
7) Intellectual Property

Integric AI’s Rights: All software, trademarks, and proprietary technology remain our exclusive property.

Feedback: Any suggestions you provide may be used to improve our Services without compensation.
8) Confidentiality
Both parties agree to:

Protect confidential information (e.g., trade secrets, business strategies).

Disclose only to employees/contractors with a need-to-know.
9) Limitation of Liability

No Consequential Damages: Integric AI is not liable for indirect, incidental, or punitive damages (e.g., lost profits).

Total Liability: Capped at the fees paid in the 12 months preceding the claim.
10) Indemnification
You agree to indemnify Integric AI against claims arising from:

Your misuse of the Service.

Violation of third-party rights (e.g., copyright infringement via call recordings).
11) Termination

By You: May cancel with 30 days’ written notice.

By Integric AI: We may terminate for material breaches (e.g., non-payment, illegal use).

Post-Termination: All access will cease, and data will be deleted per our retention policy (see Privacy Policy).
12) Governing Law & Dispute Resolution

These Terms shall be governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws require otherwise.

Prior to litigation, both parties agree to negotiate in good faith for 30 days to resolve disputes amicably.
13) Force Majeure
We are not liable for delays or failures caused by events beyond our control (e.g., natural disasters, cyberattacks).
14) Modifications
We may update these Terms periodically. Continued use after changes constitutes acceptance. Material updates will be notified via email or in-platform alerts.
15) General Provisions

Entire Agreement: These Terms supersede all prior agreements.

Severability: If any clause is invalid, the rest remain enforceable.

Waiver: Failure to enforce a provision does not waive future enforcement.
